Today, Azerbaijan is a high-potential market that is open to both local and foreign investment. Sectors such as agriculture, tourism, IT, logistics and e-commerce are entering a new stage of development. Azerbaijani legislation offers a number of advantages and simplified procedures for investors planning company formation in Azerbaijan. The company formation process is generally the same in Baku and other regions of the country. Special legal rules apply only in free economic zones, such as the Alat Free Economic Zone.
Company formation in Azerbaijan is the official process through which a business is established and entered into the relevant state records. Entrepreneurs may also operate without creating a legal entity by registering as individual entrepreneurs. However, setting up a company usually provides broader business opportunities. For example, individual entrepreneurs may be restricted from carrying out certain types of activities.
An LLC is one of the simplest and most practical business structures for company formation in Azerbaijan. It can be established by one or more individuals or legal entities.
The charter capital is divided into shares in accordance with the company’s charter.
The financial liability of the founders is generally limited to the amount they have contributed to the company.
A joint stock company is more common among larger businesses, especially those planning to attract investment.
Only a joint stock company has the right to issue shares.
When establishing such a company, one of the following forms may be selected:
A representative office is a separate unit located outside the company’s main place of business.
It represents and protects the interests of the company but is not authorised to conduct independent commercial activities.
A branch is a form of commercial presence that operates outside the company’s main location.
It may perform all or part of the company’s functions, including representative functions.
Company formation can be completed in two main ways:
For electronic company formation, an enhanced electronic signature such as “Asan Imza”, “SİMA Imza” or another approved digital signature is required.
