Company establishment

It should be remembered that company registration requires careful attention. Although the process does not take much time, it is quite responsible.

First of all, it is necessary to choose the organizational and legal form of the future commercial entity. Several forms are предусмотрено by legislation. Since legal requirements and state registration procedures are simpler, a limited liability company (LLC) is often more convenient, although entrepreneurs may have different preferences.

The next stage is the establishment of the company. The creation of a commercial entity as a legal person begins with its establishment and the preparation of its charter. The charter is approved by the founders and is considered the founding document of the company.

The person responsible for registering a company in Baku must ensure that the following information is included in the charter of the legal entity:

  • the name of the company;
  • the amount of the charter capital;
  • the shares of the participants in the charter capital, indicated in amount and percentage;
  • the registered address of the legal entity;
  • the management procedure;
  • the liquidation procedure;
  • other information required under Article 89 of the Civil Code.

It is important to note that the name chosen for company registration must differ from existing names, especially from those of direct competitors, and must be unique. Application for company registration

After completing the procedures for establishing a company, a commercial entity that wishes to obtain legal entity status must apply to the bodies of the State Tax Service for state registration, either on paper or electronically in real time. An application prepared on paper is submitted by visiting the relevant office of the State Tax Service in person or by mail. When the application is prepared on paper, it includes the following information:

  • information about the founding individuals and legal entities;
  • information about the legal address of the commercial entity;
  • other required details.

The scope of information to be included in the company registration application is defined by Article 5.3 of the Law on State Registration of Legal Entities mentioned above.

The application is signed by the founders involved in the establishment process (or by the sole founder), by legal representatives, or by an authorized representative acting under a power of attorney.

If the application is signed by an authorized representative, it must include the representative’s first name, last name, patronymic, place of residence, details of the identity document, date of issuance, and information about the power of attorney.

For company registration, it is necessary to download the “Application for State Registration of a Commercial Entity,” carefully review the required information, and complete the form correctly. It should be taken into account that the signatures on the application must be notarized. Incorrectly entered information may require repeating the process several times, which leads to additional time and financial costs.

For company registration in Baku, you will also need information about notary offices and notaries, as well as the state duty rates charged for notarial actions and the service fees applied.

Additional documents required for company registration in Baku

  1. Founding documents signed by all founders or their authorized representatives, including:

  • the decision on the establishment of the company;
  • the approved charter and the decision on its approval;
  • the decision on the formation of management bodies.
  1. A document confirming payment of the state duty, taking into account Article 20 of the Law of the Republic of Azerbaijan on State Duty.

  2. Notarized copies of the state registration certificate (extract from the state register) and the charter of the founding legal entity.

  3. A copy of the identity document of the founding individual.

  4. A copy of the identity document of the legal representative.

  5. A document confirming payment of the charter capital in accordance with legislation.

When registering representative offices or branches of foreign legal entities, attention should be paid to Article 6 of the Law on State Registration and the State Register of Legal Entities. When registering companies with foreign investment, Article 7 of the same law applies. The registering authority may also request additional documents in accordance with these articles.
