Is it possible to register changes to LLC founding documents online?

The State Tax Service under the Ministry of Economy says yes. This is confirmed in an official notification sent to taxpayers through the “Online Office” system regarding updates in the state registration of commercial legal entities.

According to the notice, it is now possible to register changes to the founding documents of a limited liability company and any subsequent changes to registered information in electronic form.

Previously, only the initial registration of LLCs could be done online in Azerbaijan. As part of ongoing efforts to improve the business environment, the State Tax Service has introduced a system that allows changes to founding documents and updates to information recorded in the state register to be submitted online. Both local and foreign-invested LLCs can now submit an electronic application to update their registration details.

The notice also explains what types of changes can be made online.

The following changes to LLC founding documents can be completed online:

• company name
• legal address
• composition of the Supervisory Board
• legal representative
• founders
• charter capital
• amendments to the charter

The State Tax Service has also outlined the procedure for online registration of changes

The process is as follows:

1. The company fills out an electronic application form in the “Internet Tax Office” system, indicating the changes to its registration details
2. Electronic copies of documents confirming the changes are attached to the application
3. The application and documents are approved using a qualified electronic signature by the founders and the director
4. Based on the submitted information, amendments to the company’s charter and the relevant decision are generated automatically in the system
5. The updated charter, an extract from the state register, and the registration certificate are sent to the company’s electronic account

The online registration of changes to LLC founding documents and updates to registered information is completed within 3 working days.

Avoid providing incorrect or inaccurate information

Please note that providing false information during the registration of changes may result in fines. Individuals may be fined 700 AZN, while legal entities may be fined 4000 AZN, in accordance with applicable legislation.

These procedures are regulated by Article 9-1 of the Law of the Republic of Azerbaijan on State Registration and State Register of Legal Entities, as well as Article 403 of the Code of Administrative Offenses.
